Turning a £100,000 Legal Threat into a Commercial Exit

Our client operated a petrol station under a tied fuel supply agreement with a national distributor.

As part of the agreement, the fuel supplier had invested approximately £70,000 into installation and forecourt infrastructure.

Shortly after opening, however, significant issues arose with the installation carried out by a contractor. The defects were severe enough that the petrol station had to close temporarily while the problems were investigated and addressed.

Because the site was no longer operating, fuel orders stopped.

The supplier responded by terminating the supply agreement and issuing a legal demand exceeding £100,000, citing breach of the contract and recovery of installation costs.

At this point the client was facing:

• potential litigation
• significant financial exposure
• a damaged supplier relationship
• an uncertain future for the site

• identifying operational and commercial weaknesses in the supplier’s position
• reopening direct negotiations with the supplier at a senior level
• reframing the situation from a contractual breach into a commercial solution

The objective was simple: avoid litigation and restructure the outcome.

The Outcome

Through negotiation, Dinmore Bell was able to:

• reach a revised commercial agreement with the supplier
• stabilise the relationship between the parties
• remove the immediate threat of legal proceedings
• avoid a potential £100,000 claim

With the dispute resolved, the client was then able to restructure the business by:

selling the petrol station operation via Dinmore, and
• converting the site into a rental investment asset

What began as a potentially damaging contractual dispute ultimately became a commercially positive exit.
