Choosing a base
ADGM, mainland or a sector free zone.
Abu Dhabi gives a business three quite different legal homes. Each answers a different question about customers, regulators and where a dispute ends up, and the answer is rarely the cheapest licence on offer.
ADGM: English common law, applied directly
Abu Dhabi Global Market applies English common law, including equity, directly through its Application of English Law Regulations 2015, with its own courts and its own financial regulator, the FSRA. Since 2023 its jurisdiction has covered Al Reem Island as well as Al Maryah. It suits holding companies, funds, family investment vehicles and regulated financial businesses. It is not automatically the right base for a company whose customers are onshore.
Mainland: licensed through ADDED
A mainland company is licensed through the Abu Dhabi Department of Economic Development, applied for on TAMM, with registration now run by ADRA, the registration and licensing authority set up under the department in 2024. Since 2021 the emirate has opened 1,105 commercial and industrial activities to full foreign ownership, so the old local-partner question no longer decides most set-ups. What still decides them is whether the activities on the licence cover what the business will actually sell.
Free zones built around a sector
Abu Dhabi's free zones are organised by industry. KEZAD, under AD Ports Group, is the industrial and logistics base. twofour54 serves media, entertainment and gaming. Masdar City Free Zone focuses on areas such as life sciences, space technology, mobility, AI and energy. Each zone's licence is a good fit for its sector and a poor fit for a business that later wants to trade more widely, which is worth knowing before the lease is signed.
Selling to government
When the customer is the state, or owned by it.
For many Abu Dhabi businesses the customer that matters most is a government entity, a government-owned company or a supplier to one. That changes the contract work more than any other single factor.
Their paper, not yours
Government and semi-government buyers contract on their own terms, and suppliers register through the Abu Dhabi Government Procurement Gate before they can bid. The useful work is knowing which clauses can move and which cannot, pricing the ones that cannot, and making sure the business can actually perform what it is signing up to: liability, payment timing, termination and the obligations passed down to subcontractors.
In-Country Value counts in the award
Under the National In-Country Value programme, certified suppliers gain an advantage in tender awards based on their ICV score, and the procurement gate asks for the certificate where it applies. ADNOC, Mubadala, Aldar and the Department of Economic Development are among the participating buyers. A supplier that treats ICV as an afterthought can lose a tender it would otherwise have won on price.
One contract register across every tender
Tender commitments outlive the bid team. We hold every awarded contract in one register, with the renewal dates, the guarantees given and the reporting the buyer expects, so that obligations made in one tender do not quietly conflict with the next.
Family groups

For a family-owned group, the legal questions are as much about the family as about the business, and since 2023 UAE law has given them a framework of their own.
A charter the law now recognises
Federal Decree-Law No. 37 of 2022 on family businesses allows a family company to adopt a charter setting out ownership rules, values, how shares are valued and how profits are distributed, and to issue two classes of shares. Where the charter and the memorandum of association disagree, the memorandum prevails, so the two have to be drafted together.
Keeping ownership inside the family
Under the same law, a partner cannot sell a share to a non-family member without the approval of partners holding at least three-quarters of the capital, and family members are offered it first. That protects the group, and it also makes a careless transfer, or an outside investor, harder to manage than founders from outside the region expect.

The onshore courts sit in Arabic
The Abu Dhabi Judicial Department runs the emirate's local courts, at first instance, appeal and cassation, and Arabic is the official language of UAE onshore courts. Dinmore Bell does not appear before them. Where proceedings are needed we instruct a licensed advocate, settle the scope and fee before they begin, and keep control of the commercial strategy.
ADGM Courts and arbitrateAD
Contracts can instead send disputes to the ADGM Courts or to arbitration. arbitrateAD, the Abu Dhabi International Arbitration Centre, took over from the Abu Dhabi Chamber's previous centre on 1 February 2024, and its rules provide for ADGM as the default seat. We can represent clients in arbitration, under the UAE's 2018 Arbitration Law, which is based on the UNCITRAL Model Law.

- It does the job an in-house General Counsel would: reads and negotiates the contracts, keeps the licence and the entity structure in order, prepares the board and shareholder papers, and takes the commercial position when something goes wrong. - Often it is asked for. Under the UAE's National In-Country Value programme, certified suppliers gain an advantage in tender awards based on their ICV score, and participating buyers include ADNOC, Mubadala, Aldar and the Department of Economic Development.
